NVR Insiders Sell US$5.0m Of Stock, Possibly Signalling Caution

Listen to the news

The fact that multiple NVR, Inc. (NYSE:NVR) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At NVR

Over the last year, we can see that the biggest insider sale was by the Independent Director, Thomas Eckert, for US$3.8m worth of shares, at about US$7,530 per share. That means that an insider was selling shares at around the current price of US$7,314. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

Does NVR Boast High Insider Ownership?

Many investors like to check how much of a company is owned by insiders. We usually like to see fairly high levels of insider ownership. NVR insiders own 1.0% of the company, currently worth about US$225m based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Do The NVR Insider Transactions Indicate?

There haven't been any insider transactions in the last three months -- that doesn't mean much. While we feel good about high insider ownership of NVR, we can't say the same about the selling of shares.
