Listen to the news

When a single insider purchases stock, it is typically not a major deal. However, when multiple insiders purchase stock, like in Clarivate Plc's (NYSE:CLVT) instance, it's good news for shareholders.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Clarivate

In the last twelve months, the biggest single purchase by an insider was when Independent Director Saurabh Saha bought US$254k worth of shares at a price of US$4.36 per share. So it's clear an insider wanted to buy, even at a higher price than the current share price (being US$4.20). It's very possible they regret the purchase, but it's more likely they are bullish about the company. To us, it's very important to consider the price insiders pay for shares. Generally speaking, it catches our eye when insiders have purchased shares at above current prices, as it suggests they believed the shares were worth buying, even at a higher price. Notably Saurabh Saha was also the biggest seller.

Over the last year, we can see that insiders have bought 130.88k shares worth US$555k. But they sold 17.65k shares for US$119k. In the last twelve months there was more buying than selling by Clarivate insiders. The chart below shows insider transactions (by companies and individuals) over the last year. Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. A high insider ownership often makes company leadership more mindful of shareholder interests. Clarivate insiders own about US$35m worth of shares. That equates to 1.2% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
