On October 2, 2025, XBiotech, Inc. entered into a new Executive Employment Agreement with John Simard, effective from October 1, 2025, to replace previous agreements. The agreement, approved by the Compensation Committee, formalizes Mr. Simard’s compensation trends and acknowledges his contributions and leadership, ensuring a smooth transition in case of his departure or retirement. Mr. Simard’s annual base salary is set at $1,250,000, with an annual base bonus of $4,530,442, subject to adjustments and committee discretion for additional compensation. The agreement also outlines severance terms and continued consulting roles post-retirement.
