While ITC Properties Group Limited (HKG:199) shareholders have had a good week with the stock up 19%, they shouldn't let their guards down. The fact that insiders chose to dispose of HK$179m worth of stock in the past 12 months even though prices were relatively low could be indicative of some anticipated weakness.
Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.
The Joint Executive Vice Chairman of the Board, Kwok Keung Chan, made the biggest insider sale in the last 12 months. That single transaction was for HK$39m worth of shares at a price of HK$0.77 each. That means that an insider was selling shares at slightly below the current price (HK$1.85). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 10% of Kwok Keung Chan's holding. Kwok Keung Chan was the only individual insider to sell over the last year.
Kwok Keung Chan sold a total of 234.46m shares over the year at an average price of HK$0.76. I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. ITC Properties Group insiders own about HK$807m worth of shares (which is 40% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
