Have ICF International Insiders Been Selling Stock?

Simply Wall St·05/15/2025 10:08:36
Listen to the news

We'd be surprised if ICF International, Inc. (NASDAQ:ICFI) shareholders haven't noticed that the Executive VP & COO, James Morgan, recently sold US$436k worth of stock at US$87.25 per share. That sale was 11% of their holding, so it does make us raise an eyebrow.

The Last 12 Months Of Insider Transactions At ICF International

In fact, the recent sale by James Morgan was the biggest sale of ICF International shares made by an insider individual in the last twelve months, according to our records. So what is clear is that an insider saw fit to sell at around the current price of US$85.49. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Insider Ownership

For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. ICF International insiders own about US$24m worth of shares. That equates to 1.5% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Do The ICF International Insider Transactions Indicate?

The insider sales have outweighed the insider buying, at ICF International, in the last three months. And our longer term analysis of insider transactions didn't bring confidence, either. But since ICF International is profitable and growing, we're not too worried by this. Insider ownership isn't particularly high, so this analysis makes us cautious about the company. We're in no rush to buy! In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing ICF International. Our analysis shows 3 warning signs for ICF International (1 is a bit concerning!) and we strongly recommend you look at these before investing.
