Listen to the news

We wouldn't blame JFrog Ltd. (NASDAQ:FROG) shareholders if they were a little worried about the fact that Yoseph Sela, the Lead Independent Director recently netted about US$2.0m selling shares at an average price of US$40.66. That's a big disposal, and it decreased their holding size by 16%, which is notable but not too bad.

The Last 12 Months Of Insider Transactions At JFrog

Notably, that recent sale by Yoseph Sela is the biggest insider sale of JFrog shares that we've seen in the last year. So it's clear an insider wanted to take some cash off the table, even below the current price of US$42.66. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 16% of Yoseph Sela's stake.

Insider Ownership

For a common shareholder, it is worth checking how many shares are held by company insiders. We usually like to see fairly high levels of insider ownership. JFrog insiders own about US$669m worth of shares (which is 14% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

So What Does This Data Suggest About JFrog Insiders?

Insiders sold stock recently, but they haven't been buying. And even if we look at the last year, we didn't see any purchases. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
